Agreement
These terms are an agreement between you and Noetic Labs (“Noetic”, “we”, “us”) for the Notebook iOS app, its extensions, and notebook.noeticlabs.io (together, “Notebook”). By using Notebook you agree to them and to our Privacy Policy. If you use Notebook for an organisation, you agree for it and confirm you can.
Beta software
Notebook is in beta and distributed through Apple TestFlight. Features may change, break or be removed, and data loss is possible. Keep your own copies of anything important; the app includes an export. We may end the beta or a tester’s access at any time. Feedback you send may be used to improve Notebook without obligation to you. Unless we have said otherwise in writing, beta builds are confidential: do not publish screenshots or details of unreleased features without our permission.
Eligibility and accounts
You must be at least 13, and old enough to agree to these terms where you live. Notebook works without an account on your device. Sync, builds and purchases need a Noetic account. Keep your device and account secure; you are responsible for activity under your account. Tell us at once if you think it has been misused.
Your content
Your notes, files, recordings and the things built from them are yours. You give us a limited licence to store, process, transmit and display them only to run Notebook for you, including sending them to the service providers listed in the Privacy Policy. That licence ends when you delete the content, except for copies kept briefly in backups or as the law requires. We do not use your content to train AI models.
You are responsible for your content and must have the rights to it.
Builds and AI output
Notebook sorts notes and, when you ask, builds things such as documents, decks, websites, research briefs, images, video, audio and 3D models through Noetic services. Builds start only after you approve them. AI output can be inaccurate, incomplete or similar to output given to others. Review it before you rely on, publish or sell it. Research briefs are not professional advice. Physical objects ordered through a build are subject to the terms shown at checkout.
Third-party services
Some builds use providers through keys you connect, such as Replicate, Hugging Face, Runway or Meshy. Your use of them is governed by your agreement with them and they bill you directly. Claude, ChatGPT and other assistants connected over MCP are governed by their own terms. We are not responsible for third-party services.
Plans, credits and purchases
Builds use Noetic plans and credits, described at mcp.noeticlabs.io/pricing. Credits bought in the app are sold through Apple and are subject to Apple’s terms, including its refund process. Credits have no cash value, are not transferable, and are used when a build runs. The credit cost of a build is shown before you approve it. Builds that fail on our side are not charged, or are refunded in credits.
Acceptable use
Do not use Notebook to:
- break the law or infringe anyone’s rights, including intellectual property and privacy;
- create or share content that sexualises minors, harasses, threatens, defames or deceives people, or impersonates anyone;
- build malware, phishing, spam or tools to get around security;
- overload, probe, scrape or reverse engineer the service, or get around limits or credits;
- break the usage policies of the AI providers we use.
We may remove content or suspend access that breaks these rules.
Published sites
If you publish a build to a web address, you are responsible for what it says and who it reaches. We may take down a published site that breaks these terms or the law, or on a valid legal notice. Copyright notices go to rishi@noeticlabs.io.
Our rights
Notebook, its software, design and the Noetic and Notebook names are ours or our licensors’. We give you a personal, revocable, non-exclusive, non-transferable licence to use the app on Apple devices you own or control, under these terms and Apple’s Usage Rules. Open-source components are licensed under their own terms.
Ending
You can stop using Notebook and delete your cloud data or account at any time (see the Privacy Policy). We may suspend or end your access if you break these terms, if the law requires it, or if we stop offering Notebook; where we reasonably can, we will give notice and time to export your data. Sections that by their nature should survive, do.
Disclaimers
NOTEBOOK IS BETA SOFTWARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT NOTEBOOK WILL BE UNINTERRUPTED, ERROR-FREE OR KEEP YOUR DATA. Some places do not allow these exclusions, so they may not all apply to you.
Liability
TO THE EXTENT THE LAW ALLOWS, NOETIC LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT NOTEBOOK IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR NOTEBOOK IN THE 12 MONTHS BEFORE THE CLAIM AND US$50. Nothing in these terms limits liability that cannot be limited by law, or your statutory rights as a consumer.
Indemnity
If you use Notebook for a business, you will defend and indemnify Noetic Labs against third-party claims arising from your content, published sites or breach of these terms.
Governing law and disputes
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Any dispute arising from these terms or Notebook will be brought exclusively in the state or federal courts located in Delaware, and you and we consent to their jurisdiction. If you are a consumer in a country that gives you the right to bring claims in your local courts or under your local law, nothing here takes that right away. Please contact us first; most issues can be solved by email.
Apple
These terms are between you and Noetic Labs, not Apple. Apple is not responsible for Notebook or its content, has no obligation to provide maintenance or support, and is not responsible for any claims about it (including product liability, legal or regulatory compliance, consumer protection, or intellectual-property infringement). If Notebook fails to conform to any applicable warranty, you may notify Apple for a refund of its purchase price, if any; Apple has no other warranty obligation. You confirm you are not in a country under a U.S. government embargo or on a U.S. list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
General
We may update these terms. If a change is material, we will tell you in the app before it takes effect; continuing to use Notebook after that means you accept it. These terms and the Privacy Policy are the whole agreement about Notebook. If part is unenforceable, the rest stays in force. Not enforcing a term is not a waiver. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets. We are not liable for delays caused by events beyond our reasonable control.
